1. DEFINITIONS
"MayoClaw" refers to MayoClaw LLC, a Florida limited liability company based in Palm Beach County, FL, including its owners, employees, and contractors.
"Client" refers to the individual or business entity that engages MayoClaw for web design, hosting, or related services.
"Services" refers to all work performed by MayoClaw, including but not limited to: website design, development, coding, hosting, maintenance, SEO, analytics setup, payment integration, and ongoing support.
"Website" refers to the website(s) designed, developed, and hosted by MayoClaw on behalf of the Client.
"Deliverables" refers to all code, design, assets, graphics, layouts, and technical configurations created by MayoClaw in the course of providing Services.
2. SERVICES OVERVIEW
MayoClaw provides custom web design services and managed hosting. Clients are engaging MayoClaw for professional services - they are not purchasing a product or a website. The Website remains a managed service hosted and maintained by MayoClaw for the duration of the Client's active subscription.
Monthly or quarterly hosting fees cover: web hosting on MayoClaw's managed infrastructure, SSL certificate provisioning, uptime monitoring, security maintenance, software updates, and minor content updates as reasonably requested.
One-time setup fees cover: initial design consultation, custom website design, development, coding, deployment, and launch labor.
3. INTELLECTUAL PROPERTY & OWNERSHIP
MayoClaw retains ownership of the server-side application code, the server configuration, the deployment tooling, and the reusable components and framework used across multiple MayoClaw builds. This includes, without limitation, server-side source code, build and deployment scripts, infrastructure and hosting configuration, and the shared libraries, patterns, and page architecture that MayoClaw carries from one client project to the next.
Upon payment of setup fees and for the duration of an active hosting subscription, the Client receives a non-exclusive, non-transferable, revocable license to use the Website for the Client's business purposes. This license permits the Client to operate the Website as hosted by MayoClaw. It does not grant any ownership interest in the property retained by MayoClaw and described above.
This license terminates if the Client cancels their hosting subscription, fails to pay hosting fees for 30 or more days, or otherwise violates these Terms. Termination of this license does not affect the Client's right to receive the Handover Package defined in Section 7.
During the term of this agreement and after it, the Client may not:
- Copy, download, extract, or duplicate MayoClaw's server-side application code, server configuration, deployment tooling, or reusable framework components
- Redistribute, sublicense, sell, or transfer any of the property retained by MayoClaw to third parties
- Reverse-engineer, decompile, or attempt to extract MayoClaw's server-side application code or deployment methodology
- Commission a third party to replicate the property retained by MayoClaw, or to create derivative works from it
- Claim ownership of the property retained by MayoClaw
These restrictions do not apply to the Handover Package described in Section 7. The Client may host, modify, and continue to use the Handover Package without restriction, including on servers not operated by MayoClaw and with a developer of the Client's choosing.
Client-owned content: The Client retains full ownership of content they provide to MayoClaw, including but not limited to: business text and copy they wrote, photographs they took or licensed, logos and branding assets they own, and any other materials provided by the Client for inclusion on the Website.
Client business data: The Client owns the business data collected through the Website, including bookings, customer records, and form submissions. MayoClaw holds and processes that data on the Client's behalf for the duration of this agreement and returns it to the Client as part of the Handover Package.
Portfolio rights: MayoClaw reserves the right to display the Website, screenshots, and descriptions of the work in its portfolio, marketing materials, and case studies, unless the Client requests otherwise in writing.
4. PAYMENT TERMS
Setup fees are due before work begins or as otherwise agreed in writing. Setup fees are non-refundable once design or development work has commenced.
Hosting fees are billed monthly or quarterly via Stripe. Payment may be processed through:
- Client self-service subscription through mayoclaw.live
- Manual invoices or payment links sent by MayoClaw via Stripe
Late payments: If hosting fees remain unpaid for 30 or more days past the due date, MayoClaw reserves the right to suspend the Website without prior notice. The Website will remain offline until the outstanding balance is paid in full. Repeated late payments may result in termination of services.
All prices are in US dollars. MayoClaw reserves the right to adjust hosting fees with 30 days written notice. Setup fees are quoted per project and confirmed in writing before work begins.
5. HOSTING & MAINTENANCE
MayoClaw hosts all client Websites on its managed server infrastructure. The monthly hosting fee includes:
- Web hosting on MayoClaw's VPS infrastructure
- SSL certificate provisioning and renewal
- Server maintenance and security updates
- Uptime monitoring
- Minor content updates (text changes, image swaps) as reasonably requested
Major feature additions, redesigns, or substantial development work beyond routine maintenance will be quoted separately and require Client approval before work begins.
If hosting is cancelled, the Website is taken offline and the Client receives the Handover Package described in Section 7. MayoClaw's server-side application code, server configuration, deployment tooling, and reusable framework components are not transferred.
6. CLIENT RESPONSIBILITIES
The Client agrees to:
- Provide accurate business information and content for the Website
- Respond to project-related communications in a timely manner
- Ensure that all content provided to MayoClaw does not infringe on third-party intellectual property rights
- Maintain current payment information on file with Stripe
- Notify MayoClaw of any changes to business information displayed on the Website
7. TERMINATION
Either party may terminate this agreement with 30 days written notice via email to the other party.
Upon termination:
- The Website is taken offline and removed from MayoClaw's servers
- The Client's license to operate the Website as hosted by MayoClaw terminates
- MayoClaw delivers the Handover Package described below
- MayoClaw retains the server-side application code, the server configuration, the deployment tooling, and the reusable components and framework used across multiple MayoClaw builds
- Any outstanding balance is due in full
The Handover Package. Provided the Client's account is current, MayoClaw delivers the following to the Client within 14 days of termination:
- All content the Client supplied, including text, images, logos, and brand assets
- The Client's domain, transferred to a registrar account of the Client's choosing, in every case where MayoClaw registered that domain on the Client's behalf
- An export of the Client's business data held in the site database - bookings, customer records, and form submissions - in a standard portable format
- A static export of the rendered public Website as served, comprising its HTML, CSS, and images
The Client may host, modify, and continue to use the Handover Package without restriction. The Handover Package does not include, and the Client does not receive, MayoClaw's server-side application code, server configuration, deployment tooling, or reusable framework components.
MayoClaw may terminate services immediately and without notice if the Client violates these Terms, engages in illegal activity, or uses the Website for purposes that damage MayoClaw's reputation or infrastructure.
8. LIMITATION OF LIABILITY
MayoClaw provides web design and hosting services on an "as is" basis. To the maximum extent permitted by law:
- MayoClaw makes no guarantee of specific business results, revenue, traffic, or search engine rankings from the Website
- MayoClaw is not liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Website
- MayoClaw is not liable for outages, data loss, or service interruptions caused by third-party providers including but not limited to Stripe, domain registrars, DNS providers, upstream hosting providers, or internet service providers
- LIMITATION OF LIABILITY CAP. To the maximum extent permitted by law, MayoClaw's total aggregate liability arising out of or relating to the Services or these Terms, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client to MayoClaw in the twelve (12) months preceding the event giving rise to the claim.
9. INDEMNIFICATION
The Client agrees to indemnify, defend, and hold harmless MayoClaw, its owners, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from: the Client's use of the Website, content provided by the Client, the Client's violation of these Terms, or any third-party claims related to the Client's business or Website content.
10. DATA PROTECTION
The Client is the data controller for all personal information collected through the Client's site, including any health-related information (for example allergies or medical conditions), and is solely responsible for obtaining lawful consent and providing required notices. MayoClaw acts only as a data processor, will process such data solely to provide the Services, and will maintain commercially reasonable technical and organizational safeguards. The Client will indemnify MayoClaw against claims arising from the Client's collection or use of that data.
11. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the State of Florida. Any disputes arising from these Terms or the Services shall be resolved in the courts of Palm Beach County, Florida. Both parties consent to the exclusive jurisdiction of these courts.
12. MODIFICATIONS TO TERMS
MayoClaw reserves the right to update or modify these Terms at any time. Changes will be communicated to active Clients via email with at least 30 days notice before taking effect. Continued use of Services after the effective date of updated Terms constitutes acceptance of the changes.
